Adobe Acquires Semrush in $1.9 Billion Deal to Bolster AI-Driven Marketing Tools
Adobe Inc. has agreed to purchase marketing software firm Semrush for $1.9 billion, its first major acquisition since the failed $20 billion Figma bid in 2022. The deal, priced at $12 per share, is slated to close by mid-2026 and will be settled in cash. Semrush’s technology will enhance Adobe’s ability to analyze brand visibility across search engines and emerging large language models.
Despite Adobe’s $135 billion valuation, CEO Shantanu Narayen argues the market underestimates the company amid excessive focus on AI infrastructure stocks. The transaction has received board approvals but awaits regulatory and shareholder clearance. Wachtell, Lipton, Rosen & Katz advises Adobe on the deal.
